01 Parties
These Terms of Service ("Terms") constitute a legally binding agreement between MD Capital Consultancy (Licence No. CN-6421144), Abu Dhabi, UAE ("we", "us", "VerifyCode") and the entity or individual ("Client", "you") requesting a technical verification review via verifycode.ae.
By submitting a request and proceeding with a confirmed engagement, you confirm you have read, understood, and accepted these Terms. If you act for an organisation, you represent that you have authority to bind it.
02 Service Description
VerifyCode provides technical verification and evidence-based findings across a 7-layer model. Depending on the package selected, the service produces one or more of:
- Findings / Evidence Matrix — structured results across the verification layers
- Evidence Report — narrative risk summary with supporting evidence references
- Visual Risk Dashboard — score, verdict, and layer-by-layer view
- Hash Manifest — cryptographic record of reviewed file states at the point of analysis
All analysis is performed through read-only inspection of the submitted codebase.
03 Repository Access
- Client grants VerifyCode read-only access to the specified repository for the duration of the review only. Access is not retained beyond the delivery and deletion window.
- Client warrants they have full legal right and authority to share the repository for review, including any applicable third-party licences.
- VerifyCode will not modify, execute, compile, deploy, or distribute any submitted code at any time.
- Access terms and scope are confirmed in writing before work commences.
- All repository data and derived artifacts are permanently deleted within 24 hours of report delivery — see the Privacy Policy and Data Handling page.
04 Payment Terms
- We confirm scope and final pricing with you first. No payment is taken before you have approved the scope.
- Once scope is approved, fees are payable in advance via a secure payment link (Stripe) before work commences.
- Prices are in UAE Dirhams (AED), exclusive of UAE VAT (5%) where applicable.
- Work commences upon receipt of confirmed repository access credentials — not upon payment alone.
- A VAT-compliant invoice is issued upon receipt of payment.
05 Refund Policy
- Full refund if VerifyCode cannot complete the review (inaccessible/incomplete repository or documented force majeure), issued within 5 business days.
- No refund after the evidence freeze (file hashing and baseline manifest) has been completed.
- Upgrades are charged at the time of the upgrade request; downgrade refunds are not available once work has commenced.
- Disputes must be raised in writing within 5 business days of delivery.
06 Delivery
- Estimated turnaround is 24–72 hours from receipt of confirmed repository access.
- Turnaround estimates are indicative and not contractually guaranteed. Complex or multi-repository engagements may require additional time.
- If delivery will be delayed beyond the estimate, we notify you promptly with a revised timeline.
- Deliverables are transmitted via a secure link or agreed delivery channel.
07 Confidentiality
- VerifyCode treats all submitted code, business information, and metadata as strictly confidential and does not share, sell, or disclose it except as required by UAE law.
- A mutual NDA is available on request and can be executed before any repository access is granted. Indicate your NDA requirement in the Request Verification form before submitting credentials.
- Confidentiality obligations survive completion of the engagement for 5 years.
- Personnel involved in a review are bound by internal confidentiality agreements.
08 Intellectual Property
- All submitted code remains the intellectual property of the Client or its licensors. Submission does not transfer any IP rights to VerifyCode.
- The delivered report is licensed to the Client for internal use only and may not be publicly distributed without prior written consent.
- VerifyCode retains no rights to the submitted code or derivatives after the deletion window.
- VerifyCode retains ownership of its proprietary methodology, tooling, and frameworks.
09 Limitation of Liability
- Our total aggregate liability for any claim is limited to the fees paid for the specific engagement giving rise to the claim.
- We are not liable for commercial, investment, or strategic decisions made on the basis of the report.
- We are not liable for indirect, consequential, incidental, punitive, or special damages.
- We do not warrant that the review will identify all risks, deficiencies, or vulnerabilities in the codebase.
- Nothing excludes liability that cannot be excluded under UAE law, including for fraud or gross negligence.
10 Warranties & Disclaimers
The report is provided as technical reference documentation for informational purposes. It reflects a point-in-time analysis and is not a continuous monitoring service.
- Accuracy and completeness depend on the completeness, authenticity, and accessibility of the submitted code at review time.
- We make no warranty that the reviewed codebase reflects the full scope of the target's technology assets unless explicitly agreed in writing.
- The service is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by UAE law.
- Findings and risk ratings represent professional judgement at the time of analysis and are not exhaustive.
11 Acceptable Use
- You will not submit repositories you do not hold full legal right to share.
- You will not use the service to review third-party code obtained without authorisation, including competitor code obtained improperly.
- You will not resell, redistribute, or commercially exploit the report without prior written consent.
- You will not misrepresent the report's findings, scope, or authorship to investors, regulators, or third parties.
- Breach may result in immediate termination without refund and may give rise to legal liability.
12 Governing Law & Disputes
These Terms are governed exclusively by the laws of Abu Dhabi, United Arab Emirates. Any dispute is subject to the exclusive jurisdiction of the courts of Abu Dhabi.
The parties agree to attempt good-faith resolution within 30 calendar days of written notice before commencing legal proceedings. Notice of dispute must be submitted through the Request Verification form at verifycode.ae.
These Terms, with any written engagement confirmation and package description, constitute the entire agreement and supersede all prior understandings.
13 Changes to These Terms
We may update these Terms at any time. The current version is posted at verifycode.ae/terms.html with an updated effective date.
Continued use after updates constitutes acceptance. Material changes (e.g. liability, refund policy, governing law) will be prominently notified for at least 14 days before taking effect.
